When you purchase The Milk Cleanse and register for an account you are required to provide information about yourself that is true, accurate, current and complete in all respects, including your name, address, phone number, and e-mail address. Users who have created an account are able to see and manage their account through the “Account” part of the Website after site login. We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

Eligibility to Purchase Products and Services

In order to make purchases on the Website, you must be 18 years of age or older, be lawfully able to enter into and form contracts on the Internet in accordance with the laws of the State of New York.

In order to make purchases on the Website you will be required to provide payment details that you represent, and warrant are both valid and correct and confirm that you are the person referred to in the “Billing” information provided. In order to make purchases on the Website you will also need to have been issued a valid credit/debit card by a bank acceptable to the Company, and have authorized the Company to process a charge or charges on your credit/debit card in the amount of the total purchase price for the product(s) or service(s) that you purchase. Products or services purchased by you must be for personal use or purchased as a gift and may not be re-sold or used for commercial purposes or for any other commercial benefit. In addition, the Company reserves the right to restrict multiple quantities of a product from being shipped to any one customer or postal address.

You agree that we may use personal information that you provide in order to conduct appropriate anti-fraud checks. Personal information that you provide may also be disclosed to a third-party credit reference or fraud prevention agency which may keep a record of that information. Order Acceptance and Cancellation

You agree that your order is an offer to buy, under these Terms of Use, all products and services listed in your order. All orders must be accepted by us or we will not be obligated to sell the products or services to you. We may choose not to accept any orders at our sole discretion. After having received your order, we will send you a confirmation email with your order number and details of the items you have ordered. Acceptance of your order and the formation of the contract



of sale between the Company and you will not take place unless and until you have received your order confirmation email.

Prices and Payment Terms

All prices posted on this Website are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Price increases will only apply to orders placed after such changes. Posted prices do not include taxes or charges for shipping and handling. All such taxes and charges will be added to your merchandise total and will be itemized in your shopping cart and in your order confirmation email.

Terms of payment are within our sole discretion and payment must be received by us before our acceptance of an order. You represent and warrant that (i) the credit card information you supply to us is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any.

Shipments; Delivery; Title and Risk of Loss

We will arrange for the shipment of the products to you. Please check the individual product page for specific delivery options. You will pay all shipping and handling charges specified during the ordering process.

Title and risk of loss pass to you upon our transfer of the products to the carrier. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments.

Returns and Refunds

 

We are generally unable to accept returns. If you are unsatisfied with your purchase, please contact love@themilkcleanse.com within 14 days of receipt. We are happy to review your order and find a resolution for unopened kits.

IN NO EVENT WILL THE COMPANY, ITS PARENTS, SUBSIDIARIES, AFFILIATES, RELATED COMPANIES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, ANY WEBSITES LINKED FROM THE WEBSITE, ANY CONTENT ON THE WEBSITE OR OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.

Notwithstanding anything to the contrary contained herein, except as otherwise prohibited by law, Company’s liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the lesser of: (a) the amount paid, if any, by you to Company for the products or service on the Website; or (b) one hundred dollars ($100). Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply to you, and you may have additional rights.

Arbitration

PLEASE READ THE FOLLOWING PARAGRAPHS CAREFULLY, AS THEY REQUIRE YOU TO ARBITRATE DISPUTES WITH THE COMPANY, AND LIMIT THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM THE COMPANY.

All disputes arising out of, relating to, or in connection with these Terms of use or your use of the products or services that cannot be resolved informally or in small claims court will be resolved through binding arbitration on an individual basis, except that you and the Company are not required to arbitrate any dispute in which either party seeks equitable relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents.

The Federal Arbitration Act governs the interpretation and enforcement of this dispute-resolution provision. Arbitration will be initiated through the American Arbitration Association ("AAA"). If the AAA is not available to arbitrate, the parties will select an alternative arbitral forum. The rules of the arbitral forum will govern all aspects of this arbitration, except to the extent those rules conflict with these Terms. The AAA Consumer Arbitration Rules (“AAA Rules”) governing the arbitration are available online at www.adr.org or by calling the AAA at 1-800-778-7879. The arbitration will be conducted by a single neutral arbitrator.

If the claim is for $10,000 or less, the party initiating the arbitration may choose whether the arbitration will be conducted (1) solely on the basis of documents submitted to the arbitrator; (2) through a non-appearance based telephonic hearing; or (3) by an in-person hearing as established by the AAA Rules in the county of your billing address. In the case of an in-person hearing, the proceedings will be conducted at a location which is reasonably convenient for both parties with due consideration of the ability to travel and other pertinent circumstances. If the parties are unable to agree on a location, the determination will be made by the arbitration institution.

Your arbitration fees and your share of arbitrator compensation will be limited to those fees set forth in the AAA Rules with the remainder paid by the Company. If the arbitrator finds that either the substance of your claim or the relief sought in the arbitration is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all fees will be governed by the AAA Rules. In such case, you agree to reimburse the Company for all monies previously disbursed by it that are otherwise your obligation to pay under the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator’s ruling on the merits.

The arbitrator will decide the jurisdiction of the arbitrator and the rights and liabilities, if any, of you and the Company. The dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator will have the authority to grant motions dispositive of all or part of any claim or dispute. The arbitrator will have the authority to award all remedies available under applicable law, the arbitral forum's rules, and the Terms of Use. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and the Company.

You and the Company waive any constitutional and statutory rights to go to court and have a trial in front of a judge or a jury. Rather, you and the Company elect to have claims and disputes resolved by arbitration. In any litigation between you and the Company over whether to vacate or enforce an arbitration award, you and the Company waive all rights to a jury trial and elect instead to have the dispute be resolved by a judge.

WHERE PERMITTED UNDER THE APPLICABLE LAW, YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR CONSOLIDATED ACTION. If, however, this waiver of class or consolidated actions is deemed invalid or unenforceable, neither you nor the Company are entitled to arbitration; instead all claims and disputes will be resolved in a court as set forth in the section titled “Exclusive Venue” below.

 

If you are not located in, are not based in, do not have offices in, and do not do business in the United States, any arbitration between you and LabElymental will be finally settled under the Rules of Arbitration of the International Chamber of Commerce (The “ICC”) then in force (the “ICC Rules”) by one of more arbitrators appointed in accordance with the ICC rules, as modified by these Terms and will be administered by the International Court of Arbitration of the ICC. Any arbitration will be conducted in the English language in the United States District Court for the Southern District of New York and unless otherwise required by a mandatory law of a member of state of the European Union or any other jurisdiction, the law to be applied in any arbitration shall be the law of the State of New York, United States, without regard to choice or conflicts of law principles.

YOU MAY OPT-OUT OF THIS ARBITRATION AGREEMENT. If you do so, neither you nor the Company can force the other to arbitrate. To opt-out, you must notify the Company in writing no later than 30 days after first becoming subject to this arbitration agreement. Your notice must include your name and address, and the email address you used to set up your account (if you have one), and an unequivocal statement that you want to opt-out of this arbitration agreement. Notwithstanding the foregoing, either you or the Company may bring an individual action in small claims court.

Notwithstanding the foregoing, you may pursue a claim for public injunctive relief either in court or through arbitration.

This arbitration agreement will survive the termination of your relationship with the Company.

Exclusive Venue

To the extent the parties are permitted under these Terms of Use to initiate litigation in a court, both you and the Company agree that all claims and disputes arising out of or relating to the Terms of Use or the use of the products or services will be litigated exclusively in the United States District Court for the Southern District of New York. If, however, that court would lack original jurisdiction over the litigation, then all claims and disputes arising out of or relating to the Terms or the use of the Products will be litigated exclusively in the state courts located in New York County. You and the Company consent to the personal jurisdiction of both courts.

 

Limitation on Time to File Claims

 

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Transparency in Supply Chain Disclosure

The state of California requires the following disclosure statement as of January 1, 2012, pursuant to the “Transparency in Supply Chains Act of 2010”.

All of the dietary and nutritional supplements marketed by Company and many of the ingredients used in those products, are manufactured in the U.S., in accordance with applicable U.S. labor laws. While some of the ingredients used in our dietary and nutritional supplements are sourced from foreign countries, Company’s finished products are manufactured in the U.S. in compliance with the current Good Manufacturing Practices (“cGMPs”) for dietary supplements.

Company’s products are marketed across the U.S. and throughout the world. Company is committed to marketing only safe and effective dietary and nutritional supplements, and to conducting business in compliance with applicable law. Company exhibits and promotes the highest standards of honest and ethical conduct in our dealings and we hold our manufacturers, suppliers, retailers and distributors to the same standard. Each of Company’s manufacturers and suppliers are carefully selected based on their reputation and evaluation by Company, prior to entering into a business relationship. In addition, Company conducts in-person inspections and audits of our manufacturers and suppliers to ensure they are operating in compliance with the cGMPs. The terms of our agreements with manufacturers require that they shall not use child labor in the manufacturing, packaging or distribution of products; they shall provide their employees with a safe and healthy workplace in compliance with all applicable laws; they shall only employ persons whose presence is voluntary; they shall not use prison labor or use corporal punishment or other forms of mental or physical coercion as a form of discipline of employees; they shall comply with all applicable federal, state and local laws and regulations including without limitation, applicable wage, hour, labor and environmental laws including but not limited to minimum wage, overtime and maximum hours; and they shall agree to utilize fair employment practices as defined by applicable laws. Further, foreign distributors of Company products are required to comply with all applicable laws and regulations and obtain all appropriate government approvals, certificates, licenses and permits pertaining to the import, sale, and advertising of Company products in the applicable authorized territory.  

Company is not aware of any slavery, human trafficking or other abhorrent and illegal labor practices in connection with any ingredient manufactured or supplied to us by foreign vendors. Company is committed to the effort to eradicate slavery and human trafficking from the supply chain and improve transparency. In furtherance of that effort, if we identify an ingredient manufacturer or supplier who does not meet the aforementioned standards, we will demand corrective action and/or discontinue any business relationship with them. Additionally, Company provides its employees and management with training on slavery, human trafficking and other abhorrent and illegal labor practices.

Truth-in-Consumer Contract, Warranty and Notice Act - New Jersey Residents

The following provision applies to residents of the State of New Jersey.  Pursuant to the New Jersey Truth-in-Consumer Contract, Warranty and Notice ACT (“TCCWNA”), N.J.S.A. 56:12-14 et seq., certain businesses are not permitted to offer or enter into written consumer contracts with consumers or prospective consumers which include any provision that violates any clearly established legal right of a consumer, or responsibility of the business, as established by State or Federal law. These Terms of Use are intended to comply with TCCWNA. In the event of a conflict between these Terms of Use and the TCCWNA, the terms of the TCCWNA take precedence and will control.

The TCCWNA also requires businesses to specify which provisions are void, unenforceable, or inapplicable in the State of New Jersey. The following provisions of the Terms of Use shall not be applicable to New Jersey residents: (i) provisions which limit the Company’s liability for any tortious action or breach of contract by the Company; (ii) provisions which limit the amount of damages which may be sought for any tortious action or breach of contract by Company; and (iii) provisions which limit the time within which claims against the Company must be brought. 

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

These Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and the Company regarding the Website its products and services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

Duties and Taxes:

Import duties, taxes, and brokerage fees are not included in the product price or shipping and handling cost.  These charges are the buyer’s responsibility as we are only charging the transportation fee for your order.  You may check with your country’s customs office to determine if there will be additional costs.

Regulations and Restrictions:

The buyer is responsible for obtaining information regarding their country’s laws, regulations, and restrictions that may apply when purchasing our products.  By placing an international order (shipping outside of the United States of America) the buyer is responsible for abiding by their country’s laws, regulations, and restrictions. If product is seized and destroyed by customs, we will NOT be responsible for the losses, product, or shipping refunds.
